Thomson Geer has advised Eurocold Holdings Pty Ltd (Eurocold) and their shareholders in the sale of a majority stake in their business to European refrigeration rentals leader, Groupe Petit Forestier SAS (Petit Forestier), and Eurocold's subsequent acquisition of Perth based refrigerated vehicles business, DCG Rentals Pty Ltd. Eurocold is a company which specialises in the Australian refrigerated fleet hire market.
Thomson Geer's involvement included:
• Strategic advice and planning – advising shareholder group, seller liability apportionment and post-completion arrangements for Eurocold management team;
• Majority Equity Disposition and Capital Investment Documentation – drafting and negotiation of Share Sale and Subscription Agreement, Shareholders Agreement and ancillary sale documentation; and
• DCG Acquisition – drafting and negotiation of Asset Sale Agreement.
This transaction represents another step in Eurocold's rapid growth plan by providing it a world leader partner in the sustainable refrigerated vehicle rental market. The partnership is the result of an alignment of values with a focus on service, customer satisfaction and close working relationships.
