DZP's client was OW Proton, a financial services and consulting company controlled by Marek Jutkiewicz, an experienced Polish entrepreneur and investor.
With the support of our experts, OW Proton acquired a majority stake in the companies: Medistica Gynaecology + Fertility – an advanced infertility treatment clinic offering specialised assisted reproduction procedures, including IVF, and Medistica Medicine + Beauty – an aesthetic medicine, dermatology and cosmetology clinic.
The two entities are part of the Medistica Medical Group, a dynamically growing family medical group that was founded in 1995 by Dr Mirosław Szlachcic, a renowned expert in gynaecology, obstetrics and endocrinology.
In addition to the share purchase agreement, the shareholders signed a long-term cooperation agreement.
DZP's advice covered comprehensive legal advice on the transaction, including transaction structuring, a due diligence, support in negotiations, full preparation of documentation and transaction closing.
