Our client was Expandable Healthcare, a European manufacturer of mobile medical imaging equipment and modular buildings for primary care. The systems designed by our client allow Expandable Healthcare to increase the availability of medical services by enabling, inter alia, X-rays, MRI and CT scans and mammograms, as well as screening examinations to be carried out outside inpatient hospital wards.
With DZP’s support, Expandable Healthcare concluded a joint venture agreement with JMP Medical, Polish representative of the market for mobile medical diagnostics and modular solutions using advanced technologies to improve the standard of care.
As a result of the merger, the two undertakings will operate under the common JMP Medical brand. The merger will expand the portfolio of products offered, increase geographic reach and enhance JMP's position in the healthcare sector. It will also expand access to advanced diagnostic imaging technologies.
"With the combined reach of our companies, we can reach more healthcare facilities and communities, making advanced diagnostic imaging technologies more accessible to those in need," said Michal Piglas and Martijn Gevers, the former heads of the merged companies, who will now jointly lead JMP Medical in its new form.
DZP's experts provided advice in cooperation with the Dutch law firm Lexence and it included comprehensive support in the implementation of the venture, from structuring to preparation of the joint venture agreement regulating the principles for the cooperation between the two undertakings.
