Dentons Link Legal advised BLS E-Services Limited on its acquisition of 100% of the share capital of Atyati Technologies Private Limited from Geosansar Mauritius Limited and Mr. Prakash Prabhu for an aggregate purchase consideration of approximately INR 157 crore in an all-cash transaction.

The transaction involved the acquisition of a 97% stake from Geosansar Mauritius Limited and the remaining 3% stake from Mr. Prakash Prabhu. The transaction documents were executed on 18 June 2026, and the acquisition successfully closed on 1 July 2026.

The acquisition strengthens BLS E-Services' position as a technology-led financial services platform by enhancing its digital banking capabilities, expanding its Customer Service Point network and reinforcing its financial inclusion offerings across the country.

Dentons Link Legal's scope of work included conducting comprehensive legal due diligence, advising on transaction structuring, drafting, reviewing and negotiating the term sheet, share purchase documentation and ancillary transaction documents, and providing end-to-end transaction management, signing and closing assistance.

The transaction was led by Milind Jha (Partner) and Nakul Vohra (Associate Partner), with support from Deepanshu Gawdi (Senior Associate), Soma Swain (Senior Associate), Rinki Singh (Senior Associate) and Anushka Agarwal (Associate). Khaitan & Co. acted for the sellers. Lagrange Point Advisors served as the transaction advisor, while Deloitte acted as the financial and tax due diligence advisor.
