Confianz has played a leading role providing legal advice on the acquisition of Grupo Implika by investment fund KKR.

For this transaction Implika has relied once again on Confianz’s finance and legal services throughout the entire purchase-sale process, as it did in 2019 when investment management firm Suma Capital became a shareholder with a 60% stake.

Although the amount agreed upon by KKR and Implika to close this deal has not yet been disclosed, sources in the sector are reporting over 10x EBITDA (earnings before interest, taxes, depreciation and amortisation) – and the strong increase in demand for vocational training in Spain supports this figure.

Manuel Urrutia, CEO of Confianz , said: The sale of Implika is a success in which all parties involved have demonstrated their firm commitment to achieve a common goal of development and growth. At Confianz, we continue our commitment to deliver the utmost possible value to our clients, this time advising Grupo Implika on their integration with educational project MasterD-Medac, which is a key step in consolidating the Group’s leadership on the national stage.

With this deal Implika joins educational group MasterD-Medac, which will have more than 100 training centres in Spain and Portugal accommodating more than 100,000 students and employing almost 2,000 professionals.

Zigor Maritxalar, CEO of Implika, said: We are very pleased and excited to be part of such an exceptional project. This country needs strong, focused educational groups that keep bringing forth increasingly solid professional profiles to a labour market that very much requires them. This is a new step towards our goal.

Ever since its creation in Bilbao in 2009, Implika has become one of the main operators in the vocational education sector, with 15 centres spread across various locations in Spain. In the past year, Implika had a turnover of over EUR31 million.

As for Confianz, the firm consolidates its leadership in the provision of M&A advisory services in Spain. The team in charge of the deal was comprised of:

Manuel Urrutia - CEO of Confianz.

Rebeca Sánchez. (Lawyer).

Javier Bragado. (Lawyer).

Guillermo Pampín. (Lawyer).

Alazne Dalmau - Finance Manager.

Teresa Urrutia - Finance Manager.
