The transaction required the simultaneous structuring of the financing and the closing of the acquisition, demanding precise coordination across multiple legal workstreams: the corporate and financial structuring of the deal, the due diligence and regularization of a nationwide real estate portfolio, the regulatory and environmental analysis of the underlying assets, and the management of litigation-related contingencies. With this transaction, GSI Capital consolidates a portfolio of over 155 service stations, reinforcing its leadership position in the fuel retail real estate segment in Chile.
The multidisciplinary and large-scale nature of the transaction required the full integration of CEPD Abogados’ Corporate/M&A, Real Estate, Regulatory & Environmental, and Litigation practice groups, working in a coordinated manner under a unified legal strategy.
