Bernitsas acted as Greek law counsel to a syndicate of international and domestic banks and investment firms led by Morgan Stanley and UBS, acting as Joint Global Coordinators, in connection with the issuance and offering of 375m new shares of CrediaBank (New Shares) through a combined offering (Combined Offering) consisting of (i) a public offering to retail and qualified investors in Greece and (ii) a private placement to qualified, institutional and other eligible investors outside Greece, as well as the listing of the New Shares on the Athens Stock Exchange.

The Combined Offering attracted broad participation from domestic and international investors, with the total valid demand expressed by investors who participated in the Combined Offering amounting to 1,419,357,928 shares, corresponding to €1,135,486,342.40, oversubscribing the 375m New Shares offered by approximately 3.8 times.

The transaction successfully closed on 7 April 2026 and trading of the New Shares commenced on 8 April 2026.
