Mexico City, May 2022.- Basham, Ringe y Correa, through its partners Juan Carlos Serra and Amilcar Peredo, and the associates Pablo Nosti and Fernando Osante, advised Saint Gobain Mexico in the acquisition of IMPAC, including all its assets, manufacturing facilities, and stores all over the country.
Saint Gobain is a French Fortune 500 listed Public Company and a worldwide leader in the light and sustainable construction industry with presence in 75 countries around the globe, it designs, manufactures and distributes materials and services for the construction and industrial market.
IMPAC is a leading company in the waterproofing manufacturing, distribution and retail business in Mexico.
The firm assisted Saint Gobain through the negotiation and execution of this deal, that include: (i) preparation of a full legal due diligence of the Mexican entities involved in the transaction in Mexico, as well of the assets owned by such company, including matters such as (a) corporate; (b) Anti-trust; (c) real estate; (d) contracts; (e) regulatory; (f) environmental; (g) labour; (h) intellectual property; (i) compliance; and (h) litigation; (ii) drafting and negotiation of the Stock Purchase Agreement and disclosure schedules; (iii) the successful filling and clearance of the transaction before the COFECE (Federal Economic Competition Commission; (iv) advice the Mexican entities in a corporate restructure for the transaction; (v) drafting of all the ancillary agreements required for closing the transaction, including: (1) Escrow Agreement; (2) closing minutes; (3) closing protocol; among others.
The matter was complex since IMPAC operates all over the country under different subsidiary companies, that are subject to different local regulations.
