Asters advised European Lithium on its acquisition through a Deposit Guarantee Fund auction of approximately UAH 8.95 bln face-value claims of Prominvestbank against Velta Holding and related obligors. The auction was part of the legally mandated bank liquidation process with a purchase price of approximately UAH 894.8 mln.
The debt acquisition is viewed as part of the broader transaction to integrate Velta Holding into European Lithium's structure. It also represents a strategic expansion of European Lithium’s portfolio into titanium and related critical materials and industrial minerals used in defence, aerospace energy, high technology manufacturing, and construction industries.
Asters advised European Lithium on all issues related to the transaction, in particular on assignment of claims, security transfer, all aspects of transaction execution and closing. The project team included Partners Oleksiy Demyanenko and Roman Stepanenko, and Counsel Kateryna Oliynyk.
