ABS & Co advised DW Pakistan, an associated company of Daewoo Pakistan,
in its acquisition of Heavy Electrical Complex (HEC) — one of Pakistan's
largest state-owned power equipment manufacturers — as part of the
government's strategic privatization programme.
The engagement covered the full transaction cycle: due diligence,
structuring of the share acquisition, negotiation of the Share Purchase
Agreement, and regulatory clearances from the Privatisation Commission,
SECP, and Competition Commission of Pakistan.
The team provided detailed analysis of HEC's corporate and financial
records, identified key operational liabilities, and designed risk
allocation mechanisms to protect DW Pakistan's investment.
Post-acquisition advisory included governance, employment transitions,
and compliance with sector-specific regulations, with particular focus
on synergies with Daewoo Pakistan's transport and infrastructure business.
