Headquartered in the Democratic Republic of the Congo (“DRC”), Emery Mukendi Wafwana & Associates (EMWA) is an international African law firm with world-class standards of work and ethics and resources providing legal services in Africa. EMWA is present across Africa, with three offices in key cities of the DRC (Kinshasa, Lubumbashi and Matadi) and offices in Brazzaville, the capital of the Republic of Congo and Johannesburg, South Africa. Natural Resources:
Mining:
■Advised and assisted a Canadian company in the conversion of its Exploration Permit into an Exploitation Permit for the Kamoa project representing an investment of US$930 million
■Advised and assisted in the acquisition of shareholders’ rights, mining rights and titles (exploration and exploitation permits) for the motogold mining projects.

Hydrocarbon:
■Advised and assisted a South African Oil and Gas Company to negotiate and conclude a Production Sharing Agreement for a total investment value of US$900 million with the Government of the DRC at the Albertine Garben in the DRC
■Advised and assisted a South African Oil and Gas Company in the acquisition of hydrocarbon rights in the DRC and drafted the agreement for the sale and transfer of hydrocarbons rights

■Acted as lead counsel and assisted a US Financial institution in connection with US$5 million loan made to a foreign investor for the purchase of Manganese mines in Burkina Faso and Mali
■Performed due diligence on a Congo Brazzaville mining company in relation to its listing on the Toronto Stock Exchange valued at US$12 million
