Zamfirescu Racoți Vasile & Partners (ZRVP) was retained by TTS (Transport Trade Services) S.A. as its legal adviser for the acquisition of 99.9% of the share capital of Decirom S.A., operator of the Port of Constanta. The legal team was led by partners Cătălin Micu, Elena Iacob and Ioana Höckl (ZRVP Tax). The firm advised on all Romanian law aspects of the transaction, in particular corporate and real estate law, mergers and acquisitions, competition law, and compliance and regulatory aspects.


The deal was a significant one, both because of the complex structure and elaborate negotiation process and the total value involved. The EUR 21.8 million acquisition of Decirom marks the consolidation of TTS Group's position as one of the most important players in the Romanian transport market and the largest freight carrier in the Danube basin.


ZRVP's mandate included legal advice on specific aspects of corporate and real estate law, mergers and acquisitions, competition law, compliance and regulatory issues, fiscal law, labor law, as well as assistance during due diligence procedures and negotiations of the closing conditions of this transaction.
