Admitted to the Paris Bar in 2008, Laurent Vincent specialises in financial markets law and has recognised expertise in structured products. He regularly advises financial institutions and French and foreign companies on the issue, placement and listing of debt securities, as well as on liability management transactions. More generally, Laurent advises on all legal issues relating to markets in financial instruments.

Advising Air France-KLM in January 2023 in connection with the implementation of an EMTN programme providing for the possibility of issuing Sustainability-Linked Notes and an inaugural issue of €1 billion of Sustainability-Linked Notes in two tranches for a total amount of €1 billion (see here).

Advising a banking syndicate in April 2023 in connection with the issue by Orange of perpetual super-subordinated notes (hybrids) for €1 billion, admitted to trading on Euronext Paris and a concomitant buyback of perpetual super-subordinated notes (liability management). (see here).

Advised a banking syndicate in May 2023 in connection with the inaugural issue of Eramet's Sustainability-Linked Bonds for a total amount of €500 million, admitted to trading on Euronext Paris (see here).

Advising Veolia Environnement in 2022 on the consent solicitation of bondholders of bond issues previously issued by Vigie (formerly Suez) to approve the Veolia/Vigie (formerly Suez) merger and, for certain bondholders, the modification of their bonds. This consent solicitation is one of the largest ever carried out on the French market (14 bond issues including two hybrid issues for a total amount of more than €5 billion) (see here).

Advised Veolia Environnement in February 2023 in connection with the implementation of a Panda Bonds programme in DFI format (universal registration programme) approved by NAFMII (National Association of Financial Market Institutional Investors) in accordance with its new regulations in mainland China.

Career

Prior to joining Gide's Capital Markets team, Laurent worked for seven years within the International Capital Markets team of a Magic Circle law firm. He holds an LL.M. in Commercial and Financial Law (2008) from King's College London, a Master's Degree in Banking and Financial Law (2006) and a Master's Degree in Business Law (2004) from the University Paris II - Panthéon-Assas. He was admitted to the Paris Bar (2008).
