Advice to Pacific Hydro Chile S.A. in the legal due diligence and acquisition of all the Peruvian assets of Latin America Power Holding B.V. This due diligence included the review of the status of six operating power plants five under development, four operating transmission lines and five under development.
Some of the power plants were developed under the renewable power plants regulation. In those cases our analysis included both the terms, liabilities and limitations of the Concession Agreement and the Power Purchase Agreement, executed with the Peruvian Energy and Mines Ministry.
The advisory also covered the assistance during the tender process and comment on the transaction documents. Unfortunately, the deal did not close as the seller faced a complicated situation with their local partner.
