Brian McCarthy concentrates on corporate and securities matters, with an emphasis on mergers, acquisitions, corporate governance and restructurings. He has acted as counsel to companies, boards of directors including special committees and investment banks, including Walt Disney Company in its acquisition of Lucasfilm and Pixar; the principal shareholders of Beats Electronics in its sale to Apple; Caesars Entertainment Corporation in its merger with Eldorado Resorts, Inc., Esterline Technologies Corporation in its sale to TransDigm Group Inc., E. & J. Gallo Winery in its acquisition of a portfolio of wine and spirits brands and associated winemaking facilities from Constellation Brands, Inc. and the spin-off of the Critical Care business of Edwards Lifesciences.
