Corporate/Mergers & Acquisitions/Restructuring/Capital Market:
SASLO advises on a wide spectrum of corporate, commercial, M&A, complex restructuring and capital market matters. It acts for corporate clients in capital market transactions, bonds, rights issues, private equity transactions, complex restructurings and M&A. Recent highlights include advising Octal on the restructuring of its share capital, Oman Air and Oman Aviation Group on the restructuring of Oman Air, advising Ahli Bank on the issuance of up to RO 75,000,000 Perpetual Bonds as an Additional Tier 1 Capital Instruments, for the purpose of increasing its capital adequacy, advising a leading international engineering service provider on the restructuring of its long-standing local engineering joint venture in Oman.

■Advising a bidding consortium for the Khasab IWP on matters pertaining to the pre-bid stage
■Advising a bidding consortium for the Barka IWP, a greenfield lone standing desalination project to be established in Barka, on matters pertaining to the pre-bid stage and during the preferred bidder phase
■Advised and acted for a consortium of international lenders financing the Barka IWP
■Advising and acting for a syndicate of lenders financing the Sohar IWP, A green-field desalination project to be established in Sohar
■Acting as counsel for Arab Banking Corporation (BSC), the lenders on the development of the Sohar Ferrochrome Project, a green field high carbon ferrochrome project, approximate value of transaction USD 175 Million
■Acting as lender’s counsel to Ahli Bank SAOG on several project financing deals
■Advising a bidding consortium for the Sharqiyah IWP on matters pertaining to the pre-bid stage and during the preferred bidder phase and acting as lender’s counsel for the pre-bid stage
■Advised the Government of the Sultanate of Oman represented by the Ministry of Electricity and Water in the Sultanate’s first privatisation project called Al Manah Power Project in the electricity sector

Litigation & International Arbitration:
SASLO’s specialist multi-lingual lawyers are recognised as Oman’s leading litigation and arbitrators in several high-profile commercial and investment disputes, in ad hoc or institutional proceedings. SASLO has for many years retained among its legal professionals selected individual practitioners with deep and long standing international experience in many fields of practice. SASLO’s lawyers are frequently appointed to sit as arbitrators and several are members of international arbitration bodies such as the Chartered Institute of Arbitrators. Notable cases include:
■Acted as the sole Arbitrator appointed by the court in a major construction dispute between a Government Ministry and a Contractor in relation to the construction of the Ministry’s head office building
■Advising a Middle Eastern Government in an on-going ICC arbitrations relating to a disputes concerning a major infrastructure project
■Successfully advised an Omani Petroleum and Production Company as counsel against the EPC Contractor in multiple claims and counter-claims emanating from the failure of the EPC Contractor to complete the works with the agreed time for completion
■Advised Public Authority for Social Insurance (PASI) in arbitration proceedings brought by a contractor against PASI and the counterclaim of PASI. The arbitrator issued an award for damages and recovery of money in favour of PASI
■Advised Rotana Hotel Management Corp Ltd in the arbitration proceedings which resulted from a premature termination of a Hotel Management Agreement under which Rotana Hotel Management Corp Ltd., was granted the right to operate and manage a hotel of Gulf Hotels Oman Ltd. SAOG

Hospitality, Hotels & Tourism:
SASLO is on the legal panel of Oman Tourism Development Company SAOC (OMRAN) one of the biggest tourism development company and regularly advises and assists OMRAN on real estate development, hotel management, contracts and corporate matters such. Major clients include Hotels Management Company International SAOG (Chedi Muscat), Millennium Resort Mussanah, Hilton Salalah, and Anantara Jabal Akhdar Resort. Recently, the firm concluded major acquisition for Aitken Spence Hotel Management (Pvt) Company.

Labour & Employment:
SASLO has a team of specialised employment lawyers, who advise clients, both employers and employees, on all aspects of labour law. The firm acts for a wide array of companies, both foreign and local, in ensuring compliance with the requirements of Omani labour law, drafting employment manuals and internal procedures. SASLO also represents both employers and employees in labour disputes both before the Labour Disputes Settlement Department of the Ministry of Manpower and at all three levels of the Omani court system. Examples of work include:

■Regularly advises Schlumberger, a retained client of SASLO, on several employment issues such as end of service benefits, unjustified leaves of absence, redeployment, transfer of employees, and represented the company in several labour disputes at all levels of courts
