Corporate & Securities:
Nationally known for its extensive experience in M&A, including cross-border transactions, securities transactions, private equity and venture capital, corporate governance and compliance, capital markets, executive compensation, special committee assignments, going private transactions, proxy contests, reorganizations and tax issues.
Counsels public and private healthcare and life sciences companies in various matters including M&A; joint ventures and syndications; fraud and abuse investigations; regulatory, contracting and operational matters; government enforcement and compliance; and data breach protection and response. Significant experience working with clients in the specialty pharmacy industry.
Securities & Shareholder Litigation:
Defends complex securities class actions and merger-related litigation, including corporate governance matters arising under federal and state securities laws.
Compliance & Government Investigations:
Advises clients on securities, healthcare and public corruption-related investigations. Conducts internal investigations and manages client exposure before, during and after governmental inquiries. Negotiates with governmental officials and defends clients in civil, criminal, administrative and regulatory proceedings.
International, International Trade & FCPA:
Counsels international companies related to cross-border M&A; compliance and government investigations; antitrust, competition and trade practices law; and environmental compliance. Assists on issues related to economic sanctions, exports, imports, anti-bribery, the Committee on Foreign Investment in the United States, and other trade issues. Advises on FCPA and other foreign anti-corruption laws including conducting international anti-corruption investigations and risk assessments related to international M&A, joint ventures, sourcing, contracting and distributing.
Advises on issues that impact government contractors including M&A support; federal and state level bid protests; small business size and affiliation standards; foreign ownership control or influence (FOCI); pending claims, investigations, audits, and disclosures; intellectual property and data rights; facility and personnel security clearances; and ethics and compliance concerns.
Provides antitrust litigation and counseling for issues arising under federal and state antitrust laws. Particular focus in the healthcare industry.
Healthcare Fraud Litigation & Healthcare Disputes:
Provides healthcare clients with counsel and support for civil and criminal exposure, including matters relating to the Stark Law and Anti-Kickback Statute, the False Claims Act, various criminal statutes, and Medicare and Medicaid audits. Assists with compliance audits, managed care disputes and IT software vendor disputes.
Commercial Transactions & Real Estate:
Focuses on acquisition, development, construction, leasing, disposition and management of a wide variety of commercial real estate for developers, investors and corporate clients. The firm advises clients in commercial lending and debt transactions, including senior credit facilities, mezzanine financings, public finance, tax increment financings, equipment financing and leasing, asset based lending and project/construction finance.
Experienced in design, drafting, implementation, amendment, termination and administration of all types of employee benefit plans and compensation arrangements.
Routinely handles litigation and administrative actions, transactions, permitting, enforcement and general counsel on environmental matters, including air/water pollution, hazardous and solid waste, toxic materials, Superfund, USTs, brownfields, sustainability and NEPA.
Assists in the organization of new banks, insurance companies and HMOs; capital raising and securities law compliance; regulatory compliance; acquisitions of or by banks, thrifts, insurance companies or their holding companies; branch purchases and acquisitions of failed institutions; advice concerning permissible non-bank activities; and enforcement proceedings against institutions or their officers and directors.
Experienced in intellectual property protection, prosecution and enforcement, including IP litigation, patent and trademark management, commercialization of IP, portfolio management, software and technology transactions, healthcare information technology, licensing, due diligence and audits, outsourcing transactions, and advertising and promotion issues.
Data Security & Privacy:
Experienced in assisting clients with data security and privacy policies and procedures; incident response plans; employee training; negotiation of vendor and other business partner contracts; investigation of data security incidents; data breach responses and customer notifications; cybercrime investigations and reporting; interacting with law enforcement and regulators; pursuit of claims against responsible parties; and defense of claims from customers, business partners and regulators.
Labor & Employment:
Experienced in management side labor practice and employment law litigation and counseling, including informational and decertification campaigns; contract negotiations and arbitrations; retaliation, discrimination and whistleblower claims; FLSA DOL investigations and class/collective actions; and a myriad of other issues including FMLA and state law leaves of absence, independent contractor classification and non-competes.
