Business:
The firm’s business attorneys routinely advise clients in a wide range of transactions, including service agreements, mergers, acquisitions and reorganization transactions spanning the energy, health care, manufacturing, distribution, technology, direct response, internet, financial services, securities, entertainment and automotive industries. The group also focuses on domestic and international outsourcing, distribution and supply transactions, private and public capital raising projects for both public and private entities, including early, mid, and late-stage financing, partnership agreements and joint ventures, leases and product development agreements.

Business Restructuring & Insolvency:
The firm’s business restructuring and insolvency attorneys represent clients throughout the United States, including the busy reorganization courts in Delaware and the Southern District of New York. Within New England, the group plays a significant role in the majority of business bankruptcy and Chapter 11 cases filed, with an emphasis on the representation of debtors in Chapter 11, as well as purchasers of assets. Outside New England, members of the group have represented asset purchasers in section 363 and plan sales of assets, as well as major parties-in-interest in Chapter 11 cases and business bankruptcy-related litigation.

Construction:
The firm’s construction attorneys handle all aspects of construction law from contract drafting, negotiation and competitive bidding issues to the development and presentation of claims, mediation, arbitration and litigation, mechanics’ liens and insurance coverage issues.

Energy & Environmental:
The firm’s experienced, interdisciplinary energy practice includes independent generation, merchant transmission, contract negotiation, governmental approvals and permitting, negotiation of insurance coverage, control of real estate for linear and nonlinear projects and tax valuations of energy assets for abatement or economic impacts. The environmental attorneys practice endangered species compliance and litigation, environmental permitting and compliance, and due diligence for mergers and acquisitions.

The firm’s intellectual property and technology team has developed a cost-effective, systematic approach to the defense and enforcement of its client’s intellectual property rights, including trademark rights, proceedings before the USPTO Trademark Trial and Appeal Board and UDRP proceedings via ICANN in relation to domain name disputes and copyright claims including online and social media enforcement and defense, trade secret misappropriation actions and unfair and deceptive trade practice claims. Legislative & Political:

Litigation:

Real Estate:
The firm’s real estate practice includes energy projects, with a focus on site control and title for wind, solar, hydroelectric, natural gas and biomass, transmission corridor and right-of-way. Commercial development and leasing work includes office, retail, mixed-use, hospitality, industrial, condominium development, litigation/resolution of real estate conflicts, tax-enhanced, tax increment, and new market tax credit financed projects, and commercial finance. The firm also has a strong timberland and conservation practice.

Trusts & Estates:
The firm’s trusts and estates attorneys provide the full spectrum of estate planning services such as preparing wills, trusts and powers of attorney, helping with business succession, assisting with domicile moves to lower tax jurisdictions, selection of fiduciaries, and general strategic advice regarding charitable planning.
