Recent Cases:
■Full legal service to Philip Morris in relation to introduction of a new category of tobacco product on the market. In this connection, Philip Morris successfully launched on the Czech and Slovak markets a new smoke-free tobacco product — the IQOS device — which is a sophisticated electronics that heat specially designed heated tobacco units (probably first of its kind introduced in Slovak Republic). PRK team continues to provide to Philip Morris an ongoing support in relation to postlaunch matters related to the device
■Advising to a club of banks, namely Komerční banka, a.s. (as the facility and security agent, coordinator, arranger and original lender), Česká spořitelna, a.s., Československá obchodní banka, a.s. and UniCredit Bank Czech Republic and Slovakia, a.s. (as arrangers and original lenders) and Sberbank CZ, a.s. (as original lender) on a syndicated loan facility up to CZK 7.5 billion for SAZKA a.s., the leading Czech betting company
■Assistance to Galerie Butovice s.r.o., an SPV belonging to Cromwell Property Group, a leading European multi-let real estate investment manager owned by Cromwell Property Group, a leading Australian property investment and funds management group and listed REIT, with respect to the construction and long-term lease of a new threestorey retail building in Prague to be fully let to Kika, a member of Steinhoff group, the second largest furniture retailer in the world. The firm assisted the client from the beginning of the realisation of the project until the completion of the construction
■Assisted MONETA Money Bank, a.s., the fourth-largest banking institution in the Czech Republic, with respect to the relocation of its headquarters to a newly refurbished 21,500 sq. m premises in BB Centrum’s Building A in Prague 4 owned by the investment and development company PASSERINVEST GROUP
■Assistance to J&T Group in connection with enforcement of security against CEFC Group, a major Chinese investor group in the Czech Republic and Central Europe, including a takeover of Czech assets of CEFC Group and resolution of J&T Group’s receivables by way of agreement with CITIC, a Chinese state controlled entity
■Representing a group of minority shareholders, including shareholders from J&T Group, in connection with asserting their rights in the largest Czech corporation, ČEZ a.s., which majority shareholder is the Czech state
■Assisted Publicis Groupe [Euronext Paris FR0000130577, CAC 40] in connection with the acquisition of Kindred Group, the largest, independent digital communications group in Czech Republic
■PRK Partners’ capital markets team advised EuroManganese Inc. in connection with the initial public offering and listing of its shares in Canada and Australia EuroManganese Inc. is a Canadian parent of a Czech operating subsidiary MANGAN Chvaletice, s.r.o., which holds exploration rights to manganese tailings in North-east Bohemia and is developing a manganese extraction project. The IPO size was in excess of CZK 150 million equivalent and was successfully completed in October 2018
■Legal advice to Komerční banka, a.s. on financing the preparation and implementation of residential house construction in the Kaskády Barrandov project realised by FINEP, the leading property developer in the Czech Republic
■Advising UniCredit Bank as issuer in updating the base prospectus of its offering programme of mortgage bonds and adding the possibility to issue notes under Slovak law under the programme. This was the first banking prospectus allowing for issuing mortgage bonds under the laws of two jurisdictions — Czech and Slovak
■Assisted the Prague Stock Exchange (PXE) in the establishment of a new non-regulated market/selling platform of PXE called START
■Advising on the first IPO by an SME firm on the new START market/selling platform. The shares of the issuer, FILLAMENTUM a.s., were offered to the public via an electronic auction/bookbuilding organized by PXE. FILLAMENTUM is a holding company of a 3D print fillamentum producer seeking new capital opportunities
■Advised on the first secondary public offering on the new START market: Prabos plus a.s., a footwear manufacturer; represented other issuers in connection with the public offering and listing of shares on the new platform START (HUB VENTURES a.s., UDI CEE a.s., etc.)
■Legal advice to UniCredit Bank Czech Republic and Slovakia, a.s. as the agent and Česká spořitelna, a.s. on the acquisition financing for the agricultural group Tekro, spol. s r.o
■PRK Labour team carries out comprehensive HR due diligence for the operator of a luxury Four Seasons Hotel in Prague
