Members of the practice are trained according to international standards, and are, at the same time, equipped with valuable local expertise and know-how. Members of the firm have contributed in the drafting of legislations whilst others lecture at tertiary institutions in their respective specialist areas. Juristconsult Chambers is continually involved in many of the largest and significant transactions occurring in Mauritius. Marc Hein SC, G.O.S.K, the Chairman of Juristconsult Chambers, was the former Chairperson of the Financial Services Commission of Mauritius, the regulator for non-banking financial services. Nicolas Richard is the Managing Partner of the law firm.

The firm services local and international companies, high net worth individuals and financial institutions including banks, funds and trusts which seek assistance for their legal challenges pertaining to the firm’s areas of practice. Juristconsult Chambers helps foreign investors to settle in Mauritius and maintains a close relationship with all Mauritian governmental authorities. Juristconsult Chambers is a member of DLA Piper Africa but also works with a large number of international law firms. The close working relationship with a network of lawyers in the neighbouring islands of Seychelles, Madagascar, Reunion and Comoros enables the law firm to better handle cross border transactions in the Indian Ocean.

Main Areas of Practice:
Members of the practice have a wide range of expertise, enabling them to provide timely legal advice as regards the following:

Corporate & Commercial:
■ Acting for a company providing mobile commerce solution for rural Africa. The company, headquartered in Kenya, is currently doing a seed funding. Advising on the structuring and legal documentation and assisting in negotiations with potential series seed shareholders
■ Advising an international private equity fund investing in Africa with its restructuring in Mauritius
■ Advising, on a regular basis, clients such as IBL Ltd, Omnicane Limited on the structuring of their investments in Africa
■ Assisting an investment advisor on the set up of a private equity self-managed fund, drafting of fund documentation and responding to queries from the regulator. This included advice on the choice of Mauritius as the ideal jurisdiction to establish the fund

Banking & Finance:
■ Advised FirstRand Bank Limited on a lending transaction of ZAR 215 million to Trevo Capital Ltd, a company incorporated under the laws of Mauritius and registered as an external profit company in South Africa. Advised on the capacity of the Mauritian entities to enter the transaction and on the enforceability of the transaction
■ Acting as Mauritius counsel to China Development Bank Corporation in matters of Mauritius law in connection with the financing of a wind power project in Pakistan. Work consisted of inter alia in a due diligence on the Mauritius company, drafting of security documents (share pledges) and issuing legal opinions
■ Advising Consortium Suzlon Pad Green Co. Ltd in connection with the financing, construction and supply and commissioning of a major wind farm which will have nameplate capacity of 29.4 MW to the resolution of 14 wind turbines to generate electrical energy from wind to be sold on the national grid. The wind farm project value is approximately USD$79 million

Tax & Trust:
■ The firm acted as tax adviser to European Investment Bank in its investment in Catalyst Fund LP II, a private equity fund focused on investment in small and mid-sized companies in Easter Africa
■ Advising management companies and financial institutions on the implications of CRS and FATCA in Mauritius
■ Advising a multinational enterprise on a tax dispute with the Mauritius Revenue Authority concerning the presence of a permanent establishment in Mauritius

Energy & Mining:
■ Drafting of all documentation for the financing, construction, supply and commissioning of a number of solar and wind electricity generation projects in Mauritius including the first wind farm being set up on the island
■ Acting as special counsel to the China Development Bank (CDB) as to matters of Mauritius law in connection with an UEP wind power project in South Asian region
■ Assisting ENGIE, formally known as GDF Suez, in connection with the project of setting up an LNG plant in Mauritius

Infrastructure & Procurement:
■ Riviere des Anguilles Dam Project: Assisted the unsuccessful bidder before the Independent Review Panel in a bid for consultancy engineering services for the design review and construction supervision of the Rivière des Anguilles Dam which was evaluated to EUR€3,334,000
■ Appeared on behalf of a foreign architectural firm in a dispute regarding a project by a local authority in Mauritius valued at MUR 12 million
■ Acted for a major conglomerate in arbitral proceedings in relation to major public infrastructure works

IP, Data Protection & Telecommunication:
■ Representing a subsidiary of the Libyan Investment Authority in an arbitration dispute as regards telecom licenses before the ICCI in Paris
■ Advising several companies and public institutions with regard to data protection in Mauritius and the requirement to amend their contracts to comply with the EU’s General Data Protection Regulation (GDPR)
■ Registration of trademarks of international brands in the fields of football, pharmaceuticals, beverages and clothing

Insurance:
■ Advising Mauritian Eagle Company Limited in connection with the acquisition by Metropolitan International Holdings Proprietary Limited of shares in Mauritian Eagle Life Company Limited

Hospitality & Tourism:
■ Advising and providing legal due diligence for the acquisition of a large Mauritian hotel by a foreign investment fund
■ Acting as transaction adviser to an international group in the hotel industry for the acquisition of three hotels from a company in receivership. Assistance included inter alia, conducting legal due diligence exercise, drafting of sale agreement, advising on the regulatory and approval requirements for foreign acquisition of immovable property in Mauritius. Also advising on licences and permits required to operate the hotels, on transfer of leasehold rights and on compliance issues

Aviation & Shipping:
■ The firm acted as Mauritian counsels for AerCap Ireland Limited in relation to the lease of a new Airbus aircraft to Air Mauritius, Mauritius national airline. The transaction involved several jurisdictions and also the interpretation of the validity of mortgages under Mauritius laws following amendments made to the firm’s Code de Commerce as well as issues regarding change in secured crediters
■ Acting for bunker suppliers in connection with ship arrest litigation before the Supreme Court of Mauritius
