PRINCIPAL AREAS OF WORK
Banking & Asset Finance:

The banking and asset finance team advises on the full spectrum of banking and asset finance. This includes project finance structures and joint ventures. The team also advises on security arrangements, and the establishment, sale and restructuring of banks and any bank regulatory issues. Asset finance transactions include asset sales, financing structures for ship owning companies, the registration of vessels, financing of aircraft, acquisitions (including cross border tax-based leasing structures) and the registration of aircraft.

Corporate Finance/Capital Markets:
The corporate finance/capital markets team provides legal advice to financial institutions and corporations on the full spectrum of issues relating to offshore finance and corporate transactions. This includes capital markets transactions involving debt and equity as well as corporate restructurings, financings, and mergers and acquisitions of both public and private companies. The team also advises Boards and Management on corporate governance issues in the context of major transactions.

Funds & Investment Services:
The funds and investment services team has leading expertise in the establishment and restructuring of retail, private equity, property and hedge funds. The team provides advice on the establishment and operations of limited and general partnerships as well as on derivative structures and ISDA Master Agreements entered into with counterparties.

Islamic & Structured Finance:
The Islamic and structured finance team advises private and listed companies, domestic and international banks, and other financial institutions on a wide range of structured finance matters, including securitisations, repackaging, collateralised loan obligations (CLOs), other structured products and bond issues. The team also advises on Islamic financing transactions: capital market sukuks, securitisations and bank debt financings of all types whether Shari’ah compliant or conventional.

Insurance:
The insurance team advises insurance and reinsurance companies, insurance managers and brokers, as well as companies seeking to do business with insurers, on a broad array of insurance issues. These include regulatory, compliance, captive formations, capital raising, segregated cell structures, re-domiciliation, policies and procedures.

Private Client & Trusts:
The private client and trusts team provide trust and foundation services to private individuals, families, and fiduciary companies. The team advises on all aspects of trust law, including the establishment, administration restructuring and termination of private, charitable, purpose commercial trusts and foundations. Private client and trusts lawyers act in a personal capacity as Protector, Enforcer and Director (of PTCs) for a number of discretionary trusts and are frequently instructed by blue-chip trust institutions.

Dispute Resolution:
The dispute resolution team acts on a full range of legal issues and high-level cases including but not limited to commercial litigation, fund disputes, trust litigation, insolvencies and restructurings, regulatory matters, professional negligence and insurance disputes. Often cases have a multi-jurisdictional component, which means that it can draw on the expertise of the global team, who will work together to provide the best result for our clients.

Insolvency & Restructuring:
Specialising in insolvency work, asset recovery and constructive trust proceedings, the insolvency and restructuring team has experience in liquidating all types of companies and partnerships, both on conventional insolvency grounds and as a consequence of governmental or regulatory action.

Property:
The property team provides expert legal advice on all areas of commercial and residential property, including sales and purchases, leasing, development and property finance transactions. The team is known for its experience and client service and regularly work developers, investors, business occupiers, banking institutions and private individuals.

Employment:
Updating employers and employees on existing and changing employment laws, drafting employment contracts, policies and procedures, as well as unfair dismissal and redundancy.
