Morgan & Morgan is a full service Panamanian law firm, regularly assisting local and foreign corporations from different industries, as well as the most important financial institutions and government entities. The firm has a solid legal department with specialised services to give an effective answer to the needs of our clientele when doing business in Panama.
Main Areas of Practice:
Government Procurement & Contracts:
During the last decades, Morgan & Morgan has provided legal support in negotiations for a wide variety of public tenders and concession contracts with the Panamanian government. The attorneys represent international and domestic clients in preparing the required documentation for public bids, assist them in the bidding process, and promote and defend their interests before the corresponding administrative and judicial entities. In addition, they have been involved in every critical step in the negotiation of multiple major concession contracts such as mining, port facilities, aviation and air transport, hydroelectric facilities, telecommunications, oil, water supply, among others.
Morgan & Morgan has been active throughout this period, assisting investors, developers, contractors and creditors, both local and foreign (including multilaterals), in all phases, including development (such as permitting), construction and financing. Clients include major multinational companies, investors, developers, operators, contractors, government agencies, lenders and investment banks.
Mergers & Acquisitions:
Morgan & Morgan’s M&A team continues to keep abreast of the changing regulatory landscape, from antitrust to tax, providing clients with valuable structural and transactional support. Its attorneys have participated in all aspects of these transactions, from initial negotiations of letters of intent or memoranda of understanding, to the drafting of the necessary purchase agreements (in stock and asset transactions), all through to the closing and postclosing, including claims for alleged violations of representations, warranties or covenants.
Of particular note is M&M’s continuous advice for clients involved in the generation of energy, including their participation in all stages of the development of the largest hydro, wind, carbon and solar projects developed in Panama in the last decades.
On real estate matters, the firm has vast experience in complex real estate transactions in Panama, including financing, acquisition, selling, leasing, permitting (including environmental matters), construction and development (through horizontal property or other regimes). The real estate practice has worked side by side with their project finance division, in order to structure complex collateral packages for project financing transactions for commercial, retail, residential and other kind of projects that add up to over a billion dollars.
M&M tax practice is composed of a team of attorneys with vast knowledge and experience in tax law that can readily identify opportunities and benefits for clients doing business in Panama, as well as a number of foreign jurisdictions due to the international presence of their brand. Tax attorneys work very closely with other practice groups of the firm in order to provide high quality tax advice to both individual and corporate clients from several industries.
M&M offers expertise in a broad range of intellectual property fields for the registration and protection of trademarks, patents, IP litigation, among others. It advises a wide range of private companies, including the most important corporations and multinationals in the region from several industries, including banking, insurance, mining, ports, entertainment, electronics, telecommunications, real estate, transportation and a complete range of consumer goods such as food, healthcare, baby products, clothing, luxury goods, among others.
The firm has a solid shipping practice known for representing the most prestigious ship owning companies as well as the most prominent and active lending institutions; PI Clubs, charterers, hull and cargo underwriters and other shipping interests. According to the latest figures published by the Maritime Authority of Panama in September 2017, Panama has the largest maritime registry in the world per number of ships (8,033). Morgan and Morgan leads the sector by having 23.8% of active ships (1,915) registered in the country. In the shipping admiralty and litigation practice, M&M has been known for having the greatest number of open cases at the Maritime Courts of Panama, a judicial entity that has become an internationally recognised forum in the resolution of maritime disputes.
