Arbitration & Dispute Resolution/Litigation:

BBL is a leading litigation practice in Botswana both in the courts and in alternative dispute resolution. The firm has a growing reputation in insolvency and restructuring work and has been instructed by the Provisional Liquidator, on behalf of the Government of Botswana, to assist in the winding up of BCL mine. In addition, BBL has a solid construction law practice, and has recently represented the main contractor in respect of a dispute over the construction of an international airport in the Gaborone. BBL has also acted on behalf of the developer of multi-use sectional title scheme in its dispute with an international construction company.

Banking & Finance:

The firm has experience both in debt capital markets and transactional lending. Recently, BBL has advised issuers of two domestic medium term note programmes listed on the Botswana Stock Exchange and has acted for most major financial institutions in respect of both domestic and international facility agreements.

Bookbinder Business Law was appointed as Statutory Manager of Stockbrokers Botswana Limited (“SBB”). The appointment was to ensure that SBB returned to regulatory compliance by reviewing internal; policies and complying with regulatory requirements. The firm has effected a number of merger filings with the Competition Authority including procuring approvals for the Botswana component of major international transactions. The firm has also represented the Competition Authority as counsel before the Competition Tribunal and for the provision of opinion work.

Corporate & Commercial:

The firm has an active practice for both listed and unlisted entities. BBL is currently acting for the offeror in respect of an unsolicited takeover of a listed company on the BSE. In addition, the firm has acted for entities in structuring secured development transactions as well as assisting the countries’ largest public pension fund in establishing a private equity fund. BBL has also assisted investors into the tourism sector in negotiating joint venture agreements with concession holders.

Conveyancing & Real Estate:

The firm has been involved in the development and structuring of the largest sectional development in Botswana and its conveyancing department is renowned for its effective and competent work. BBL also acts for developers in the retail sector in respect of acquisitions and disposals. Most recently, the firm has acted for an international hotel chain in structuring the construction of a 5-star hotel in Gaborone.
