Banking & Finance:
The firm has extensive and widely-recognised experience in local and cross-border financial transactions, representing a wide range of clients that include private and institutional lenders, governments and development agencies, multilateral organisations and corporate borrowers. Pinheiro Guimarães acts as counsel in connection with syndicated loans, refinancing transactions, import financing, export prepayment and other trade finance transactions, local and cross-border financial leases, securitisations, credit-linked debt, project finance and other structured finance transactions and acquisition financings. From 1983 to 1994, the firm represented the Bank Advisory Committee for the restructuring of the Brazilian external sovereign debt and was actively involved in the negotiations that resulted in the issuance of the ‘Brazil Brady Bonds’.

Capital Markets:
The firm provides legal advice in primary and secondary public offerings of securities in both the Brazilian and the international capital markets including shares, share certificates and debt securities. It also assists clients in carrying out filings and cancellation of public company registrations; securities listing and delisting proceedings; administrative proceedings and consultations with the CVM and B3; investments in the Brazilian capital and financial markets by local and foreign investors; and stock option plans. The firm is also actively involved in structuring and setting up investment funds, including hedge funds and structured funds, such as private equity funds and credit rights investment funds (FIDCs), and in structuring derivatives transactions. The firm also advises clients in connection with compliance matters and trading rules, filings and reporting requirements, as well as administrative and disciplinary procedures before the CVM and B3.

Corporate & M&A:
The firm provides legal assistance in the incorporation of companies and other entities for the development of different business activities in Brazil. This includes counselling on all corporate issues involving different corporate entities in Brazil. The firm is regularly engaged to structure securities repurchase transactions, foreign investments and divestments, transactions involving sale of assets and assumption of debt, turn-around investments and investments in overleveraged or distressed Brazilian companies. The firm is also actively involved in mergers and acquisitions, transfer of control and corporate restructuring transactions, including mergers, spin-offs, mergers of shares, dissolution and liquidation of companies. The firm also advises financial institutions, investment funds and local and international corporations in structuring and negotiating private equity investments and private equity funds.

Tax:
Pinheiro Guimarães advises clients in developing and carrying out integrated tax strategies with respect to their activities, capital markets, M&A, restructurings and e-business, the development of financial and banking products, tax efficient investment alternatives, and in derivatives transactions. The firm has expertise in international and crossborder transactions and with international tax treaties, structured tax transactions, tax derivatives products and tax planning.

Litigation & Arbitration:
The firm has a competent and growing staff of attorneys dedicated to litigation and arbitration proceedings. A growing number of dispute resolution proceedings in which the firm represents its clients today consist of commercial arbitration, both local and international.

Insolvency & Restructuring:
In the area of credit recovery – including summary collections, judicial recovery and bankruptcy proceedings – the firm has seen its practice grow in recent years to include a significant number of clients in Brazil as well as many offshore creditor groups, such as bondholders, commercial and investment banks, investment funds and multi-lateral organisations.

Projects:
The firm advises local and international clients in connection with the implementation of a variety of infrastructure developments such as oil and gas, power and industrial projects including hydro, wind, solar and thermal power plants, FPSOs, fixed platforms, pulp and paper plants, pipelines, and petrochemical plants.
