Main Areas of Practice:
The firm provides rule of law based results in dispute resolution. Dentons Muñoz successfully handled a multimillion Euro international arbitration. Handled two Appeals of Cassation before the Supreme Court of Guatemala on two high level tax cases.
Banking & Finance:
Debt financing and loan security packages, debt restructuring, issuance of negotiable instruments, asset securitisation, investment funds and trusts. The firm represented a regional bank for a project finance syndicated loan for up to US$110 million for the development of a renewal wind energy park in Panama and a US private investment fund for the acquisition of 200 million negotiable certificates bonds issued by the Republic of Panama. Represented a multilateral financial institution and a European bank in the refinancing of the most important toll road in Costa Rica.
The firm has a solid track record of success advising local and foreign clients on mergers, business unit spinoffs, tender and exchange offers, leveraged buyouts, strategic alliances, collaborations, joint ventures, acquisitions and divestitures. It recently assisted in the purchase of one of the largest crop protection manufacturer in the region by a Netherlandish corporation.
Provides ongoing sophisticated advice to residential, commercial or mixed-use developments. The firm represents the developer of the largest private free trade zone in Panama. Additionally, the firm is assisting a new upstart in the ultra-luxury boutique hotel and spa space in the acquisition of three properties, both in the negotiation and creation of the corporate structure for future acquisitions.
Provides corporate legal counsel on a permanent basis, corporate governance advice and corporate advice to foreign direct investors arriving or expanding their presence. Currently advises a German pharmaceutical company in its day to day negotiation of agreements with suppliers and clients. Recently helped a multinational corporation, in the pharmaceutical industry, establish a financial shared services centre in Costa Rica. Represented a leading life sciences company in the acquisition of a major cardamom processing facility in Guatemala.
Dentons Muñoz provides tax advice and defends the interests of its clients in court. The firm assisted a beneficiary of the Free Zone Regime in disabling an area authorised for operation, avoiding all major obstacles until the achievement of the final authorisation from authorities.
Provides rule of law based government procurement advice. The firm represents the Inter-American Development Bank in designing the Alliance for Prosperity Fund, the largest mixed-capital fund in the history of Central America to develop strategic infrastructure in Guatemala, Honduras and El Salvador. Dentons advises a large Spanish energy provider in the administration of one of the few private hydro-electric projects in Costa Rica working under a BOT-PPA contract.
