Oil & Gas:
■ Transaction Counsel to ConocoPhillips on the US$1.5 billion sale of all its Nigerian upstream oil and gas business to Oando Energy Resources
■ Advised Schlumberger on the structuring of production management models for providing funding and technical services to upstream petroleum operations and. Advised on the celebrated transaction with First E&P Ltd in respect of OMLs 83 and 85
■ Project Counsel to the West African Gas Pipeline Company on the proposed interconnection between the West African Gas Pipeline (‘WAGP’) and the Atuabo- Aboadze pipeline in Ghana
■ Project Counsel to Brass Fertilizer & Petrochemical Company Limited on the development of a US$3.5 billion urea/methanol facility
■ Advising a pioneer domestic LNG producer and operator of a virtual pipeline network in Nigeria on the supply of re-gasified LNG to a power plant in the Northern Nigeria
■ Advising a global LNG trader on the development of a floating LNG regasification and storage unit along Nigeria’s coastal waters
■ Project counsel to Energia on the development and financing of a ~US$100 million modular multi-products oil refinery in Delta State
■ Represented Waltersmith Petroman Oil Limited in the negotiation of a production sharing agreement with the Government of Uganda in connection with the award of two oil blocks in Uganda
■ Advising on gas supply and transportation agreements for some of the investors in a major PSC development coming onstream in 2018
■ Acting on the buy and sell-sides of several gas sale agreements including a cross-border gas sale agreement involving parties in Nigeria and Ghana via the WAGP

Electricity:
■ Project counsel to the developer of a precedent-setting integrated LNG-to-power project to be developed as part of the “Light up Lagos” Project
■ Advising Yellowstone Power Limited on the development of its 350 MW Ajaokuta IPP in Kogi State
■ Advised three Consortia in their bids to acquire Geregu II, Omotosho, Olorunsogo, Gbarain and Ihovbor National Integrated Power Project (“NIPP”) Plants

Mining:
■ Advised a PPP sponsor on a proposed collaboration with the Kwara State Public-Private-Partnership Bureau for the development of the State’s solid minerals sector
■ Lawyers at the firm advised CGA Mining Limited on the acquisition of a controlling interest in the Segilola Gold Project and all aspects of its exploration operations post-acquisition
■ Lawyers at the firm supported Ratel Gold Limited on its C$14 million initial public offering and listing on the Toronto Stock Exchange as well as the subsequent spin-off of Ratel Group Limited from Ratel Gold Limited

Infrastructure:
■ Advising a concessionaire on the development of a mass student housing project for several universities in Nigeria
■ Lawyers at the firm represented the Lagos State Government in negotiating a proposed monorail concession
■ Under the auspices of the Nigeria Infrastructure Advisory Facility (‘NIAF’) I, lawyers at the firm provided technical support to several government bodies on the implementation of PPP programmes

Energy Disputes:
■ Advising an IOC in challenging a US$1.3bn claim by the Federal Government as back payments for gas flared during crude oil production
■ Advising a partner in an oil and gas joint venture on the settlement of a project cost dispute
■ Representing an IOC in a dispute relating to crude handling arrangements and the manner of allocation of commingled crude between two IOCs
■ Advised a Fortune 500 IOC on expert determination, mediation and litigation proceedings arising from an equity redetermination dispute with some of its partners in a unitised deepwater field
■ Representing an IOC in challenging a fine imposed by the petroleum regulator in connection with an oil field blow-out

Energy Finance:
■ Advising on equity and debt financing of a US$3.5bn petrochemical complex
■ Advised on the N4bn finance for the revamp and optimization of the Egbaoma gas processing plant
■ Advising the operator of an upstream joint venture on the structuring and documentation of an alternative funding structure for the development of an oil field
■ Advised on the US$50 million oil and gas financing transaction for an upstream asset
