MAIN AREAS OF PRACTICE:
Energy: The energy practice continues to be the stronghold of the firm, where it is considered the undisputed leader. The firm is extremely active in a number of projects resulting from the ongoing energy reform and market liberalsation, along the full value chain of the industry. DLV has extensive experience in all areas of the industry, from E&P contracts, to midstream and downstream oil, gas and derivatives storage, transportation and distribution facilities. In upstream, DLV has represented many US, Canadian, Latin American and European oilfield service companies in implementing various contractual structures with Pemex; in midstream, it has successfully assisted in different roles with respect to the 3 existing LNG regasification terminals, and has actively participated in the vast majority of the major gas transportation pipelines developed in Mexico, assisting a number of European, US and Canadian developers, and certain European companies in upgrades and revamps of the Pemex refineries. It is currently very active in a number of projects involving terminals and pipelines for products. On the power side, DLV successfully assisted a number of Japanese, European and US developers in the award, construction, implementation and financing of a number of IPP plants anchored under 25-year PPA’s with CFE under the prior market regime and is now very active in the new electricity market, where its unprecedented experience has proven to be crucial in the power market reorganisation ensuing from the 2014 energy reform. With respect to renewables, DLV has assisted in the majority of the large scale wind farm projects in Mexico, assisted developers and international lenders in their financing. It has also worked in the implementation of solar power projects, including those sponsored under the long-term auctions launched by CENACE as part of the new market. The firm is in the forefront of regulatory advice in Mexico, having participated in various relevant leading cases before the regulatory agencies and administrative courts.
Infrastructure: DLV has successfully assisted clients in a vast number of infrastructure projects, from the bidding and award stage (including where applicable, contract negotiation) to their construction, operation and financing. Projects include a number of large-scale waste-water treatment plants treating water for the largest cities in Mexico, including Mexico City, and for industrial users; state and federal concessioned toll roads in North and Central Mexico, port facilities, transportation systems and projects under Public-Private Partnership schemes. The DLV strong regulatory expertise in government procurement and administrative law has proven to bring considerable added value in the stages of risk assessment, financing and negotiation of project concessions and contracts.
M&A: DLV has actively assisted international clients in medium and large scale acquisitions in various industries, including power production, oil and gas industry, food production, automotive. LVHS has played an instrumental role throughout the stages, from due diligence to negotiation of the acquisition agreements and the obtainment of merger control clearance from the antitrust perspective, and other industry-specific governmental approvals.
Project Finance: DLV has worked both in the developers and in the lenders side (including US, European, Asian commercial and development banks, as well as multilateral agencies), in successfully structuring and implementing financing for projects in the energy, infrastructure, communications and industrial facility sectors. Apart from the expertise in setting up structures that provide lenders a comfortable security package, DLV works in structuring such financings so that they properly factor in the various implications of the specific project, from the regulatory, administrative and contractual perspectives, especially in highly regulated industries such as energy and infrastructure.
Mining: DLV has successfully represented Canadian and domestic mining companies in all aspects of their projects, from staking of mining concessions, setting up operation agreements, financings, joint ventures, selldowns, regulatory matters, among others.
Manufacturing/Automotive: DLV represents and assists Canadian, US and Japanese automotive and other manufacturing industry players, from transactional work including an acquisition, to establishing in Mexico and handling all specialised matters of the industry, including complex foreign trade (IMMEX) compliance issues and complex foreign trade litigation, where DLV has successfully settled and resolved landmark cases for its clients.
Real Estate: DLV represents developers and financing entities with respect to commercial, industrial, residential and leisure real estate developments in Mexico, covering all items from structuring, financing, regulatory, construction and operation.
Financial Institutions: DLV assists insurance companies, banking institutions and other financial players in a broad array of transactions and matters in an ever increasing competitive environment.
