Founded in London in 1978, Memery Crystal is entrepreneurial in spirit, international in outlook, and pragmatic in approach. It is known for its transactional, advisory and regulatory work advising successful businesses, their leaders and investors. It is recognised as a leader in a number of sectors, including AIM, natural resources, real estate, crypto and emerging currencies and retail and leisure. PRINCIPAL AREAS OF WORK

Banking & Finance: UK and international acquisition finance, convertible debt, general corporate lending, retail corporate bonds, and property finance. Advising borrowers and lenders including challenger banks, acquisitive investors, and developers.


Commercial, IP & Technology (CIPT): Drafting and negotiation of contracts (technology, Web3 and outsourcing), advice on market channel arrangements (sales, distribution, franchising). Protection, enforcement, and exploitation of intellectual property rights. Data protection and privacy. Well known for contentious IP and work on the laws of gambling.


Corporate: Equity capital markets, M&A, and debt and private equity for UK and international companies, institutions, investors, and entrepreneurs. Market-leading work on IPOs and secondary fundraisings, with a strong reputation for advising on AIM, Main Market, and dual listings. All aspects of public and private mergers, acquisitions, and disposals, and known for strength in international M&A.


Dispute Resolution: Undertaken by sister brand Rosenblatt. Substantial and complex multi-jurisdictional commercial disputes including claims for breach of contract, negligence, fraud, company disputes, insolvency, and defamation. Extensive experience seeking injunctions to freeze assets, acting for clients in the High Court, as well as arbitration under the rules of various international bodies.


Employment: Comprehensive employment advice including contract and policy drafting, discrimination issues, managing discipline and performance, and redundancy and restructurings, including at board level. Comprehensive contentious and non-contentious solutions for employers and senior executives.


Financial regulation: Advice on becoming and remaining licensed by UK regulators, and on regulatory avoidance. Structuring and documentation of investment funds and other structures both UK and offshore. New workstreams also reflect the growth of Web3 and work with clients in financial technology including cryptocurrencies and DeFi.


Real Estate: Full-service real estate practice spans investment, financing, development, landlord and tenant, construction, planning, and real estate litigation for developers, financial institutions, and commercial occupiers. The team also acts for private property companies and high-net-worth individuals on the acquisition, letting, and disposal of high-end developments.


Tax: Advises on a wide range of real estate and corporate matters in both domestic and cross-border transactions. Significant expertise in advising occupiers, investors, and developers, and regularly provides advice to corporate clients and entrepreneurs on restructuring, demergers, joint ventures and tax-efficient investments and exits.

Wealth Structuring: Advising high-net-worth individuals, their families, businesses, and trustees in the structuring of personal and business interests held both in and outside of the UK. Handling a range of both tax and succession planning-focused instructions in what are increasingly transaction-driven circumstances. Expertise includes acquisition, structuring, and investment into UK real estate, both residential and commercial.
