Mergers & Acquisitions:
The firm represents client in various domestic and crossborder M&A transactions, such as mergers, joint ventures and equity and asset purchases. The firm assists its clients in their various capacities (buyers, sellers, lenders, borrowers, guarantors, target companies and others) and in drafting and negotiating the various documents required to complete the transactions.

Capital Markets:
The firm represents companies and shareholders in the context of public offering of securities (stocks, debentures, commercial papers), both on the regulatory aspect involving the Comissão de Valores Mobiliários (Brazilian Securities and Exchange Commission) and the drafting of the offer documents; the firm also assists individuals and companies in processes of accreditation as portfolios managers.

Drafting of civil and commercial contracts in general (purchase and sale, rentals, leasing, personal and collateral security).

Banking & Finance:
The firm advises its clients on bank financing operations and leasing, regulations and controls by the Central Bank of Brazil concerning foreign investments in Brazil, Brazilian investments abroad, foreign trade and foreign exchange regulations; representation in administrative proceedings in the sphere of Banco Central do Brasil and of the Conselho de Recursos do Sistema Financeiro Nacional.

Investment Funds:
Assistance in the organisation of investment funds (equities markets, emerging business funds, credit rights funds, etc.); advising as to compliance with the regulations of the Comissão de Valores Mobiliários (Brazilian Securities and Exchange Commission).

High Net Worth Individuals & Families; Succession Planning:
The firm assists high net worth clients (individuals and families) in connection with various legal issues arising from wealth management and the planning and execution of asset organisation, in Brazil and abroad, including, but not limited to, for succession purposes.

International Work:
The firm has developed during the years of practices a very close relationship with law firms located both in Europe and in the United States, assisting non-Brazilian clients with connections to Brazil in terms of business or assets, and Brazilian residents who have business or hold assets outside Brazil. The firm has experience to assist clients on the acquisition of real estate assets, vessels, aircrafts located or to be held in other jurisdictions. In such cases, the services are rendered by the firm jointly with law firms of the other jurisdictions.

The clients of the firm are mainly Brazilian companies and individuals with business in a wide variety of activities such as mining, telecom, real estate, construction and technology.
