Practice Areas
Richard Parrino represents companies and investors in the TMT sector and other industries. He acts for U.S. and international companies and investors in mergers and acquisitions, investments, joint ventures, and restructurings, and for domestic and foreign private issuers in public and institutional securities offerings.
Richard advises on compliance with the beneficial ownership reporting, short-swing liability, and transfer restriction provisions of federal securities laws and SEC rules. He counsels senior executives, boards, and board committees on fiduciary duty matters arising in the normal course of operations and in mergers and other transactions.
Career
Before entering private practice, Richard served as a law clerk to Judge Thomas A. Flannery of the U.S. District Court for the District of Columbia.
Richard has written widely on topics in securities and corporate law and has served as a lecturer on securities regulation and corporate governance at the University of Virginia School of Law.
