Real Estate:
■ Sales & Acquisitions:
Pircher works on large and complex real estate sales and acquisitions throughout the US and abroad, representing buyers and sellers in the acquisition and disposition of various property types, including office buildings, retail centers, hotels, industrial properties, residential properties and manufactured housing communities.

■ Leasing & Development:
The firm has in-depth experience with an extensive variety of commercial properties, including office buildings, regional malls, power centers, supermarkets, community and neighborhood centers, mixed-use projects, resorts, free-standing units and industrial sites.

■ Real Estate Private Equity Investment Funds:
The firm has attorneys who advise real estate private equity investment funds and their sponsors (comprising institutional investors and high-net-worth individuals) regarding the structuring, marketing, regulation, operation and investment of real estate private equity investment funds.

■ Tax:
Pircher provides advice on entity structures and the federal and state tax treatment of various aspects of transactions as well as providing expertise in specialized areas, such as partnerships, LLCs, REITs, REMICs and other pass-through entities; investments by tax-exempt entities/UBTI matters; tax-deferred exchanges; leasing and financing transactions; mergers, acquisitions and restructurings; and property and transfer taxes.

■ Workouts & Portfolio Matters:
Pircher’s team of transactional, bankruptcy and tax lawyers has extensive experience with real estate workouts, (including loan, joint venture, lease and development workouts) through representation of lenders, borrowers, partners, landlords, tenants and developers.

■ Corporate:
The firm’s corporate services include formation and structuring of pooled investment vehicles, preparation of offering materials and investment documentation, providing advice regarding management fee and carried interest structures, tax structuring to address the needs of tax-exempt investors and to comply with REIT rules, negotiating and documenting credit facilities and joint ventures, investment due diligence and deal structuring.

■ Financing:
Pircher represents lenders and borrowers in real estate secured loan originations, loan sales and purchases, workouts, foreclosures and countless other debt arrangements, including construction, conduit, mezzanine and participating loans.

Institutional Lending:
The firm’s institutional lending team is an extension of its financing practice. The team has experience with a broad range of matters, such as multistate and multi-property transactions involving a wide variety of asset classes, in addition to the customary requirements for secondary market transactions.

Land Banking:
Pircher represents a number of different institutional capital sources and private investment partners for residential real estate development projects throughout the US. The firm regularly represents land bankers in transactions of varied types and sizes. Pircher has experience in the negotiation and documentation of land banking transactions and a deep understanding of the relationship-based nature of such transactions.
