Tax Advisory & Litigation:
The firm’s practice in this area includes consulting of direct and indirect taxes, duties and contributions, legal opinions on tax assessment on financial and trading operations, as well as tax consulting and planning in spin-off, merger and acquisition operations and in those carried out in the financial and capital markets; consulting in corporate law’s application regarding bookkeeping, commercial accounting and disclosure of financial statements of Brazilian companies, as well as international tax planning and tax consulting related to foreign trade operations and international income tax treaties; tax litigation (administrative and judicial) involving defense before the federal, state and municipal courts; tax due diligence and strategic management of tax liabilities.
Commercial & Civil Litigation: The firm’s practice in this area comprehends legal assistance in judicial and administrative proceedings related to civil, commercial, banking, corporate, bankruptcy and labour law, as well as issues regarding the capital markets; legal advice on credit recovery related to agribusiness financing instruments and export prepayment transactions, as well as assistance in extrajudicial and judicial reorganisation procedures (Chapter 11), advising creditors, investors and trading companies; and legal counsel on conflicts resolution, through alternative mechanisms, such as mediation and arbitration, with due diligence and strategic management of civil and labour liabilities.
Corporate & Contracts Law: The firm’s practice in this field involves incorporation of companies nationally or abroad, drafting of corporate acts in general and in connection with corporate restructurings, mergers and acquisitions transactions, and the structuring of private equity and venture capital transactions; drafting and negotiation of corporate instruments related to purchase and sales of shares or quotas, shareholders’ agreements, cooperation agreements, investment agreements, debentures deeds, hold harmless agreements, among others; legal due diligences proceedings and counselling in connection with civil liability of company managers, succession planning and corporate governance planning; drafting and execution of contracts in general, such as lease, partnership, free-lease, deposit and real estate, agency and distribution, franchise, license and technology transference, domestic and foreign logistics agreements.
Banking & Finance: The firm’s practice in this area includes structuring either offshore or domestic financial transactions, along with the formalisation of the guarantees thereof; legal opinions relating to financial transactions, including export prepayment and project finance transactions; structuring of new agribusiness instruments-based transactions, securitisation, securities' issuance and distribution; assistance in stock and commodities exchanges transactions, as well as in over-the-counter markets; consultancy on assets' custody, trading, clearing and registration systems.

INTERNATIONAL WORK: The firm is specialised in either providing background and advisory to foreign company aiming to initiate in Brazilian market, by structuring and implementing the most adequate vehicle before local corporate and tax laws (doing business in Brazil), as well as in providing international support for Brazilian companies willing to expand their businesses to other countries, applying the correspondent Brazilian international ruling and the local one through selected law firms’ partnerships.
