Regulatory & Public Law:

The firm advises on matters covering all aspects of several regulated industries, including telecommunications, energy, air, maritime, and land transportation, ports and airports, mining, information technology and insurance. In relation to telecommunications, it has been involved in almost every relevant project in Brazil and has contributed to proposed rulemakings for the regulation of telecommunication services. With regard to energy, the firm handles all types of contractual and regulatory matters in this area, including the structuring and implementation of generation and transmission projects, the preparation and negotiation of power purchase, gas supply and other agreements, and the granting of concessions and authorisations. As for public law, the firm specialises in public bids and governmental contracts. It has participated in numerous large Brazilian public bids and privatisations.

The firm has been active in major antitrust cases, mainly cartel and unilateral conducts investigations. The firm also assists clients in merger control filings and compliance training.

Compliance & Anticorruption:
The firm assists its clients in anti-corruption matters, including negotiation of settlements with the public administration, as well as in designing, implementing and monitoring compliance programs.

M&A, Private Equity, Corporate & Commercial:
The firm advises on every aspect of corporate activity including the drafting and negotiation of all types of agreements, organisation of investment funds, structuring of foreign and local investments, incorporation of companies, mergers and acquisitions, acquisition due diligence, formation of joint ventures, acquisition and disposition of assets (including real estate), technology transfer and technical assistance arrangements, antitrust, competition and consumer matters. The firm is very active in M&As and private equity deals, routinely representing clients in transactions in several different areas.

Capital Markets & Finance:
The firm has extensive experience in capital market finance, having participated in the structuring of several financings involving foreign lenders, the local capital market and international and Brazilian official credit agencies (including BNDES), as well as trade financing facilities. The firm has handled a number of financings, including debt securities issuance of vendor and project finance, particularly in infrastructure sectors, as well as debt and equity securities issuances and offers.

The firm advises on all aspects of Brazilian tax legislation, including in connection with tax planning.

The firm has a very active litigation practice group qualified to represent clients in all types of civil, commercial, tax and labour litigation, as well as arbitration.

The firm’s labour practice continues to flourish, working collaboratively with all groups of the firm to give tailored advice in restructuring and acquisitions, global mobility, collective bargaining issues, profit sharing agreements, strategic labour planning, complex litigation. The firm is able to provide a solution for any type of labour issues.

International Trade:
The firm assists Brazilian and foreign clients in matters related to international trade and customs in Brazil and abroad, including in antidumping, subsidies and countervailing measures, safeguards and other proceedings conducted by foreign trade authorities.

International Work:
During the last 22 years, Mundie e Advogados has become a leading provider of legal services in several of its areas of practices. It has acted in a number of large acquisitions and other corporate transactions, privatisations and public bids. Major transactions handled include the structuring of joint ventures and the public bids for the granting of cellular and the so called ‘mirror’ licences; the public bids and licensing of microwave, satellite and spectrum surveillance, cable TV and other telecommunication services; the privatisation of Telebras; the privatisation of Gerasul, Cesp and several other electric energy concessionaires; the acquisition and disposition of equity interests in various companies or projects; the public bids for electric energy generation and transmission projects; numerous acquisitions, including private equity deals, in several different industries, including infrastructure, beverages, ceramics, plastics, chemicals, auto-parts, aircraft components, minerals, construction, sugar, ethanol and bio-diesel, credit information, financial and payment services and transportation; and the structuring and implementation of several large crossborder and local secured and non-secured facilities, syndicated loans and project finance.
