Founded in 2016, Faveret | Lampert is a law firm formed by some of the most experienced lawyers in the Brazilian infrastructure field, notably in the oil and gas and energy sectors. The firm focuses on corporate and commercial work related to energy and infrastructure projects. The main areas of practise can be divided as follows:
The firm advises on the most adequate structure of any given project (greenfield or brownfield), considering the source of funds and the relevant regulatory framework. The firm drafts and negotiates key project documents, including investment agreements, stock purchase agreements, articles of incorporation, consortium formation agreements, investment fund by-laws, shareholders’ agreement, sponsor support agreements, loan agreements and related collateral agreements, equity support agreements, and assists in all necessary aspects to register such acts before the Boards of Trade, Brazilian Securities Exchange Commission and Federal Revenue Services.
This practise includes the firm’s strong oil and gas background. The firm has intensive experience in structuring and handling key agreements in this practice: long term supply agreements with take-or-pay/ship-or-pay clauses, power sector agreements (power purchase and sale agreement, transmission agreements, interconnection agreements), contracts of the upstream or midstream oil and gas sector (joint operating agreements, lifting agreements, unitisation agreements, gas/LNG supply agreements, oil sale agreements, industrial leasing agreements and charter agreements).
The firm can start its work at the planning stage, when it is defined the contractual framework of the project and the main terms and conditions of each relevant contract.
The firm prepares a contractual framework that seeks to conciliate:
(i) compliance with regulatory requirements
(ii) project risk allocation among the several stakeholders in accordance with the best industry practice
(iii) the highest possible tax efficiency
The firm designs the contractual framework to make the project bankable at the lowest financial cost to maximise the investment return to project sponsors. The firm drafts and negotiates key contracts in this area of practice, such as construction contracts (turnkey), transference of technology contracts and service or equipment supply contracts.
The firm represents clients in various types of M&A transactions (buyers and sellers), from origination and negotiation to documentation and closing, and when necessary, to enforcement of remedies of procedures and agreements for workout and reorganisation.
Administrative & Public Law:
The firm’s administrative and regulatory practise focus in energy and logistics (ports mostly). It has the ability to conduct the relationship with governmental bodies and its political subdivisions, always with full transparency and in client-oriented manner. The firm has experience in advising clients about their rights and duties under the applicable regulation, and assists them in defining strategies to overcome difficulties that may affect their businesses in reason of the applicable regulation.
