  • Advising Vipingo Ridge on all documentation relating to the 1st world class golf course and residences in Kenya and providing regulations on operations and management of various aspects of the development including airstrip regulations.
  • Advising Two Rivers Development (a Centum PLC subsidiary) on its facilities with Standard Bank (SA) – US$80 Million
  • Advising and preparing commercial and loan documents for Ceniarth LLC, a UK based Private Equity Fund on investments into Kenyan entities. The transaction values ranging from US$1million to US$3million.
  • Advising shareholders of Reliable Freight Ltd – a logistics company on sale of its business and assets – transaction value US$3.5 Million
  • Advising Global Partnership Inc. a USA based Private Equity Fund on a number of investment projects relating to participation by the Fund in Kenyan entities. The transaction values ranging from US$3million to US$10million.
  • Advising Kenya Ports Authority on a joint venture agreement relating to operations within the port of Mombasa. The transaction value in excess of US$650million, which required COMESA (Common Market for Eastern and Southern Africa) approval and Kenyan Competition Authority approval.
  • Advising Menengai Oil Industries Limited on the sale of its palm oil business in Kenya through a share acquisition model. The transaction value in excess of US$70million based on both debt and equity.
  • Advising on all aspects of development, management structures, sale and leasing of industrial parks, zoning and master planning of a city development by Centum PLC (through its subsidiary Vipingo Development Ltd. The transaction value excess of  US$100million.
  • Advising Centum PLC on its proposed development of residential units in Nairobi – transaction value – excess of US$5 Million
  • Advising Mombasa Cement Ltd on acquisition of assets and business of Elgon Processing Ltd – US$5 Million
  • Acting Mombasa Cement Ltd on acquisition of over 4000 acres of land in Vipingo area- value over $300 Million

Litigation Practice:

The principal objective of the firm is to have a dispute settled most expeditiously and be cost effective to the client. If court process is unavoidable, the firm has vast experience in dealing with most complex and weighty litigation matters.

  • Advising on and enforcing recoveries on behalf of banks and other commercial institutions arising from securities & guarantees.
  • Involved in complex election disputes. A.B. Patel & Patel was part of the team that successfully represented Kenya’s electoral body in the disputed 2013 presidential elections and has an impeccable record of having been fully successful defended matters and contested right up to the Supreme Court.
  • Acting for and advising the Spedag Interfreight Group of companies on the successful recovery of an excess of US$2.5million under a breach of contract claim on account of monies owed for shipping and logistics services provided against two international companies which were placed in administration in their respective jurisdictions under insolvency proceedings.
  • Advised Kenya Ports Authority on the claim by The Dockworkers Union on account of pension contribution for a sum in excess of Kshs. 6.9billion. The litigation at the High Court was successfully defended with the claim being dismissed though the matter is still pending on a review application.
  • Representing a leading logistics service provider in a large claim arising out of an employment dispute before the Supreme Court.
  • Advising and successfully representing the Kenya Ports Authority in the litigation on a claim arising out of damage to the ‘TEAMS’ undersea cable at Mombasa during dredging works being undertaken by the ‘MV Athena’– Van Oord Dredging and Marine Contractors BV – for over US$ 66million.

Alternative Dispute Resolution:
1 Partner
A.B. Patel & Patel has a well-established and highly regarded alternative dispute resolution department which advises on a full range of contentious commercial disputes including shipping, marine, construction and trade disputes as well as matters arising out of contractual claims, tax demands, fraud, insolvency, environmental and real estate disputes. In addition to this, the firm has undertaken diverse litigation involving Administrative, Constitutional and Election Laws.

  • Advising the Kenya Ports Authority successfully in the arbitration/ adjudication with Van Oord arising out of sum of an amount withheld by it for cables damage incident. The claim lodged in adjudication under the agreement with the Authority at the London Court of International Arbitration was determined by a Dispute Adjudication Board of three eminent London Q.C’s. Value in excess of US$ 8million.
  • Represented Vipingo Ridge Ltd. on claims by a residence owner on issues of service charge element;
  • Represented the Kenya Ports Authority on claims for salvage remuneration involving ships that ran into difficulty in Kenyan territorial waters with cargo valued at in excess of US$ 42million which cumulatively resulted in successful recoveries for the contractors following reference of the matters to arbitration in London.
