Overview

Debevoise’s Russian capital markets practice has longstanding relationships with many leading companies in Russia and has worked on some of the most prominent Russian securities transactions in recent years. It has a particular focus on representing issuers in international offerings and listings on the London Stock Exchange and advising them on ongoing compliance and corporate governance matters. When specialized expertise is required, we draw upon lawyers from other areas of the firm, such as litigation, banking, bankruptcy and reorganization, communications, derivatives, employee benefits and executive compensation, finance, insurance, intellectual property, and mergers and acquisitions.

Our offices have U.S. and European-qualified lawyers with extensive international securities experience, encompassing offerings by publicly held companies, IPOs and privatizations, and offerings of high-yield debt securities and complex derivative products. We have broad experience in meshing the requirements of U.S. securities laws with the requirements of non-U.S. laws, and have advised on numerous multijurisdictional offerings that combine a registered offering in the U.S. with a public or private offering outside the U.S. (Rule 144A/Regulation S).
